1. INTRODUCTION AND ACCEPTANCE
Welcome to Essential Nova Labs OÜ ("Essential Nova Labs," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, online courses, coaching services, community features, and all related services (collectively, the "Services").

By accessing or using our Services, registering for an account, purchasing a course, enrolling in coaching programs, or participating in our community, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not access or use our Services.

These Terms constitute a legally binding agreement between you ("you," "your," or "User") and Essential Nova Labs OÜ . Please read them carefully before using our Services.

2. ELIGIBILITY
To use our Services, you must:

• Have the legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Comply with all applicable laws and regulations in your jurisdiction

If you are between 16 and 18 years of age, we recommend obtaining parental or guardian consent before using our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

3. ACCOUNT REGISTRATION AND SECURITY
3.1 Account Creation
To access certain features of our Services, you must create an account by providing your full name, valid email address, phone number (for coaching services), secure password, and any additional information necessary to customize your learning experience. You agree to provide accurate, current, and complete information during registration and to update your information as necessary to keep it accurate and complete.

3.2 Account Security and Responsibility
You are solely responsible for maintaining the condentiality of your account credentials, all activities that occur under your account, notifying us immediately of any unauthorized access or security breach, and ensuring no other person uses your account.

Important: Your account is personal and non-transferable. You may not share, sell, rent, or otherwise provide access to your account or any course materials to any third party. Violation of this provision will result in immediate account termination without refund.

3.3 Account Information Accuracy
You must ensure that all information you provide to us, particularly information used for coaching program customization, is truthful, accurate, and not misleading. Providing false or inaccurate information may result in account suspension or termination.

4. SERVICES DESCRIPTION
4.1 Online Courses
We oer digital online courses covering sales training, communication skills, and related professional development topics. Our courses include pre-recorded video lessons, downloadable PDF course materials, quizzes, assessments, and lifetime access (subject to terms).

4.2 One-on-One Coaching Services
We provide personalized coaching sessions designed to help you achieve your specic goals: individually scheduled coaching calls, customized coaching programs, professional guidance, and support systems.

4.3 Community Access
Enrolled users may access our member-only community features including private discussion forums, networking opportunities, and interaction with instructors.

4.4 Service Modications
We reserve the right to modify, update, or discontinue any Service or feature at any time, change course content to improve quality, or remove features. We will make reasonable eorts to notify you of material changes.

5. PRICING AND PAYMENT
5.1 Course Pricing
Online courses are sold as one-time purchases. All prices are subject to change without notice for future purchases. Promotional pricing may be offered at our discretion. Additional courses available exclusively for community members 

5.2 Community Subscription Pricing
Community access is provided on a subscription basis. We will make reasonable eorts to notify existing subscribers of price increases in advance. Existing subscribers will be charged the new rate upon their next renewal.

5.3 Payment Processing
We accept payments through Stripe, Circle payments, WIX, Direct Wire transfers and PayPal. By providing payment information, you authorize us to charge the applicable fees and represent that you have the legal right to use the method.

5.4 Taxes
All prices are exclusive of applicable taxes unless otherwise stated. You are responsible for all applicable taxes associated with your purchase.

6. REFUND AND CANCELLATION POLICY
6.1 General Refund Policy for Digital Products
No refunds are available once a digital product has been delivered or access has been granted. This includes online courses, digital materials, and community memberships.

6.2 Coaching Services Refund Policy
Table 1 Summary:
• Before any coaching sessions: Full refund available upon requests with 48h notice.
• Rescheduling (requested at least 48 hours in advance): No cost.
• Rescheduling (requested less than 48 hours in advance): Not available.
• Multi-session package cancellation: Partial refund may be provided at our discretion. Payment retained for completed sessions at highest rate; partial refund for unused sessions.
• No-show for scheduled session: No refund provided.

Rescheduling Requirements: At least 48 hours' notice. No-Show Policy: Failure to attend a scheduled session without prior cancellation results in no refund and the session being considered consumed.

6.3 Subscription Cancellation
Subscriptions can be canceled at any time, effective at the end of the current billing period. No refunds for partial periods. Contact support@essentialnovalabs.com to cancel.

7. INTELLECTUAL PROPERTY RIGHTS
All content available through our Services is owned by or licensed to Essential Nova Labs and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license for personal, non-commercial use only. This does NOT permit sharing account access, distributing materials, creating derivative works, or use for commercial purposes.

Prohibited Uses - Recording and Screenshots: Recordings and screenshots may NOT be shared, uploaded to any platform, used for commercial purposes, or distributed in any form. Violation constitutes a material breach of terms.

8. COURSE ACCESS AND CONTENT DELIVERY
8.1 Lifetime Access
Separately purchased courses are provided with lifetime access for as long as the course remains available. Course streaming only; materials can be downloaded for personal use.

8.2 Course Discontinuation
If a course is discontinued, you will retain access. If unforeseen circumstances require complete removal, we will provide 30 days' notice for you to download all content.

8.3 Technical Support
We provide support for login/access issues, navigation, and billing. Contact support@essentialnovalabs.com.

9. COMMUNITY GUIDELINES AND CONDUCT
When using our community, treat all members with respect and courtesy. Prohibited conduct includes harassment, bullying, spam, hacking, or harvesting user information. Essential Nova Labs reserves the right to monitor activity and suspend or terminate accounts for violations without requiring previous notice.

10. DISCLAIMERS AND LIMITATIONS OF LIABILITY
Our Services are for educational purposes only. We do not guarantee specific results. Sales training results vary significantly based on your commitment and effort.

Limitation of Liability: Essential Nova Labs' total aggregate liability shall not exceed the amount you have paid in the twelve (12) months preceding the claim. In no event shall we be liable for indirect, incidental, special, or consequential damages.

11. ACCOUNT TERMINATION AND SUSPENSION
You may terminate your account at any time. We reserve the right to suspend or terminate your account for violations, abusive behavior, fraud, or legal requirements. If terminated for violations, you will immediately lose access and no refunds will be provided.

12. DISPUTE RESOLUTION AND GOVERNING LAW
Both parties agree to rst attempt resolution through good faith negotiation. If unresolved, mediation is required before litigation. These Terms are governed by the laws of Estonia. Any legal action must be brought exclusively in the courts of Estonia, Latvia, or Lithuania.

13. CHANGES TO THESE TERMS
We reserve the right to modify these Terms. Material changes will be notified at least 30 days in advance via email or website notice. Continued use after changes constitutes acceptance.
